Requirements
- Degree in law (LLB, JD) or paralegal/corporate governance qualification
- Experience in corporate governance, company secretarial services, or legal entity administration
- Solid understanding of corporate governance principles
- Solid understanding of entity lifecycle management
- Strong organizational skills
- Ability to manage multiple entities, priorities, and deadlines
- Excellent written communication skills in English
- Excellent verbal communication skills in English
- Excellent written communication skills in German
- Excellent verbal communication skills in German
- Other European languages are an advantage
- High attention to detail
- Discretion when handling confidential information
- Confident user of Microsoft Office
- Experience with legal entity management tools is a plus
- Experience with board portal tools is a plus
Tasks
- Organize, coordinate, and follow up on board meetings
- Prepare agendas and board packs
- Draft board resolution documentation
- Attend virtual board meetings
- Draft meeting minutes and resolutions
- Provide administrative support for legal entities
- Manage legal entity incorporation and maintenance
- Handle annual and other legal filings
- Support restructurings and liquidations
- Act as interface between business and legal teams
- Liaise with Finance, Tax, and external advisors
- Maintain statutory registers and corporate records
- Update entity management systems
- Support statutory and regulatory filings
- Ensure compliance with governance standards
- Adhere to group policies and local legal requirements
- Support governance process improvements
- Serve as contact for directors on entity matters
