Requirements
- Commercial education with paralegal certification or university degree in law related field
- 4–6 years of experience as a corporate paralegal
- Experience in drafting corporate resolutions and coordinating annual meetings
- Comfortable handling high volumes of trust and corporate documentation
- Proficient in Microsoft Office (Excel, Word, PowerPoint, Outlook)
- Fluency in German and English; Spanish is a plus
- Strong organizational and communication skills with sound judgment and attention to detail
- Independent, proactive work style with a high level of professionalism
Tasks
- Manage Specialized’s Europe portfolio of corporate legal entities
- Support global corporate matters as needed
- Coordinate formation, maintenance, dissolution, and re-domiciliation of entities
- Draft and review corporate documents, including resolutions and meeting minutes
- Maintain beneficial ownership registers and support fiscal year-end processes
- Handle and respond to KYC requests across jurisdictions
- Maintain statutory records, organizational charts, and compliance calendars
- Ensure timely updates and filings with regulatory authorities
- Oversee contract lifecycle processes, including template management and workflow coordination
- Organize and archive legal and contractual documentation
- Liaise with external legal counsel, registered agents, and regulatory bodies
- Collaborate with cross-functional teams, including Finance, Risk, and Compliance
- Assist the Legal team with general administrative tasks
- Proactively manage multiple priorities and support ad hoc projects
