Tasks
- Lead the legal due diligence (DD) process
- Focus legal DD provider work on critical topics
- Drive Share Purchase Agreement (SPA) reviews
- Lead SPA discussions
- Enforce group standards during negotiations
- Contribute to positive negotiation outcomes
- Coordinate and manage external M&A lawyers
- Oversee efficient and high-quality M&A legal execution
- Set up articles of association
- Execute legal mergers
- Implement changes to the legal structure
- Draft and review NDAs, credit, HR, and service agreements
- Partner with HR, Commercial, and Treasury teams
- Handle day-to-day legal inquiries
- Conduct Know Your Customer (KYC) reviews
- Perform ID checks
- Manage corporate housekeeping, including commercial register updates
- Coordinate and manage external lawyers as needed
- Develop and maintain a library of standard contracts
- Develop and maintain legal playbooks
- Ensure implementation of legal standards across the group
- Build and implement Group-wide Risk Management Guidelines
- Build and implement Group-wide compliance concepts
- Incorporate sanction lists into compliance concepts
- Drive data protection strategy
- Implement Technical and Organizational Measures (TOMs)
- Apply TOMs across all partner companies
- Establish strict cost control for external legal advisors
- Collaborate with Finance to prevent cost overruns
- Optimize external legal advisor rates
- Implement and manage a central contract database
- Ensure transparency and document retention via database
