Requirements
- Master’s degree in Economics or Business Administration
- Minimum 12 years relevant work experience, including 10 years in M&A, corporate finance, valuation, accounting (IFRS), and transaction execution in oil & gas/energy industry
- Proven expertise in M&A execution, corporate finance, company valuation, tax, IFRS, and accounting for complex transactions
- Experience managing large, complex M&A projects with strategic awareness and problem-solving skills
- Excellent communication skills for translating complex financial matters to senior management and boards
- High independence, responsibility, accuracy, and conflict-management capability
- Very high stress tolerance
- Strong attention to detail
- Openness to learning
- Commitment to HSSE standards
- Excellent command of English
Tasks
- Lead M&A transactions in Energy/E&P sector
- Manage projects from preparation to post-closing
- Coordinate senior internal and external stakeholders
- Advise on financial, tax, and commercial matters
- Ensure accurate valuations and transaction documents
- Design and execute transaction structures
- Handle tax structuring and financing structures
- Assess deconsolidation impacts and dividend potential
- Develop purchase price mechanisms
- Perform advanced financial analyses
- Review complex business valuations
- Challenge asset economics and value bridges
- Calculate earn-out and completion accounts
- Conduct ad-hoc analyses and benchmarks
- Manage external advisors and investment banks
- Select Big4 and banks for advisory roles
- Steer advisory workstreams
- Negotiate advisory and consultancy fees
- Prepare transaction-related documentation
- Create teasers and information memoranda
- Deliver management presentations
- Prepare decision materials for Executive and Supervisory Boards
- Ensure comprehensive M&A reporting
- Maintain deal databases and benchmarks
- Track transaction multiples and fee intelligence
- Support strategic portfolio development
- Identify external growth opportunities
- Evaluate potential acquisition targets
- Assess disposal candidates within OMV portfolio
- Build market intelligence and professional networks
- Monitor industry trends
- Maintain relationships with advisors and peers
- Identify implications for OMV’s strategy
- Ensure cross-functional alignment
- Coordinate with finance, tax, controlling, and accounting
- Adhere to HSSE responsibilities
