- High ownership, motivation, and commitment
- Proficiency in German required, excellent command of English essential, additional language skills advantageous

Aufgaben
- Provide legal advice on strategic projects and transactions
- Advise on preliminary feasibility studies
- Develop carve-out concepts
- Structure transactions
- Draft NDAs, release letters, engagement agreements, process letters, indicative offers, defense agreements
- Conduct market studies for merger control
- Establish insider lists
- Draft insider information sheets
- Create individual undertakings for confidentiality and insider trading
- Manage legal due diligence
- Prepare transaction agreements
- Ensure internal alignment on agreement content
- Negotiate transaction agreements
- Advise on regulatory approvals
- Assist in signing and closing processes
- Obtain merger control clearances
- Secure foreign investment approvals
- Obtain internal approvals
- Review and satisfy closing conditions
- Follow up on post-closing obligations
- Develop and implement transition period rules of conduct
- Advise on post-merger activities
- Select and manage external counsel
- Manage external legal budget
