- Strong drafting and negotiation expertise in complex capital markets transactions
- Experience supporting boards and executive management in corporate governance
- Ability to operate independently, manage diverse workloads across jurisdictions, and deliver pragmatic legal guidance
- Ability to partner effectively with cross-functional teams
- Familiarity with Swiss governance tools, such as Connexor
- Experience managing external counsel across multiple countries
- Active legal license or certification to practice in applicable jurisdiction
Aufgaben
- Serve as primary legal partner for Alcon AG's Swiss corporate law compliance
- Support compliance with SIX securities regulations
- Provide legal support for general corporate governance
- Advise on annual reporting and ESG compliance
- Support capital markets transactions
- Ensure aligned governance, compliance, and transactional strategy
- Manage risk consistently across jurisdictions
- Support Alcon AG’s Board of Directors and Executive Committee
- Manage Alcon’s Annual General Meeting of shareholders
- Advise on corporate governance matters
- Handle Swiss regulatory issues
- Lead complex financing transactions
- Collaborate with cross-functional teams on corporate governance
- Draft corporate minutes and resolutions
- Prepare meeting agendas and certificates
- Create powers of attorney and other corporate governance documents
- Attend to Swiss corporate administrative matters
- Support Swiss securities compliance and public disclosure
- Assist in drafting annual reports and financial disclosures
- Prepare management transaction disclosures
- Manage Alcon AG’s share register
- Ensure compliance with Swiss corporate and securities law
- Advise on SIX exchange regulations
- Coordinate Annual General Meeting of Shareholders
- Interact with internal and external stakeholders
- Collaborate with Treasury to draft finance agreements
- Negotiate capital markets and finance transaction agreements
- Advise on M&A transactions from a Swiss perspective
- Provide counsel on licensing transactions from a Swiss perspective
- Support ESG efforts with advice and counsel
- Advise on regulatory reporting and due diligence requirements
- Maintain relationships with Swiss securities regulators
- Manage relationships with share register provider
- Liaise with independent proxy solicitor and auditors
- Maintain relationships with third-party service providers
- Partner with Treasury, Compliance, HR, Tax, and Finance
- Collaborate with global legal teams
