Aufgaben
- Manage corporate housekeeping for German and international group companies
- Strategically develop corporate housekeeping processes
- Manage company law master data
- Prepare and coordinate complex resolution documents
- Ensure legally compliant implementation of resolution documents
- Manage compliant reporting to the Transparency Register
- Ensure compliance with Group-level legal requirements
- Independently manage national and international M&A projects
- Manage internal and external contacts for M&A projects
- Prepare the Annual General Meeting organizationally and content-wise
- Manage the overall Annual General Meeting process
- Ensure a legally compliant and smooth Annual General Meeting process
- Serve as the primary contact for the Board of Directors, committees, and internal stakeholders
- Prepare and legally evaluate documents and draft resolutions
- Ensure content and legal quality of draft resolutions
- Drive the further development of internal guidelines for resolution creation
- Prepare the Board of Directors' report
- Prepare other relevant documentation, reports, and statistics
- Ensure the content quality of reports and documentation
- Independently manage cooperation with external consultants
- Monitor budget, quality, and timing for external consultant cooperation
