Aufgaben
- Review and negotiate transaction documents for US growth equity and pre-IPO deals and private fund investments
- Review and negotiate subscription agreements, side letters, LPAs, term sheets, and co-investment documentation
- Provide direct, actionable legal guidance to the investment team during deal execution and diligence
- Flag real risks early and propose workable solutions
- Manage corporate governance and entity management across the firm's international group structure
- Oversee shareholder matters, financing rounds, and the firm's stock option plans
- Collaborate with finance and operations on cross-functional legal matters
- Address investor-related matters as they arise
- Coordinate with and manage external counsel for specialist advice
- Build and maintain playbooks, templates, and review workflows
- Track legal and regulatory developments
- Flag implications of legal and regulatory developments for the firm's activity
