- Fully qualified lawyer with bar admission
- Several years of professional experience as a fully qualified lawyer in a law firm or corporation, ideally including Corporate / M&A experience
- Good communication skills and ability to convey complex matters clearly
- Strong negotiation skills and business understanding
- Strong intercultural competence
- Project management skills
- High ownership, motivation and commitment
- Proficiency in German and excellent command of English, additional language skills advantageous
- Strong team player with willingness to work in an international environment
- Willingness to travel when required
Aufgaben
- Provide legal advice on strategic projects and transactions
- Advise on preliminary feasibility studies and transaction structures
- Draft documentation including NDAs and engagement agreements
- Establish insider lists and draft insider information sheets
- Manage legal due diligence processes
- Prepare transaction agreements and ensure internal alignment
- Negotiate transaction agreements
- Advise on obtaining regulatory approvals
- Assist in the signing and closing process of transactions
- Obtain merger control clearances and foreign investment approvals
- Ensure fulfillment of obligations from transaction documents
- Develop rules of conduct for the transition period
- Advise on post-merger activities
- Select and manage external counsel and legal budgets
